Robert C. Gabrielski Named Chair of Norris McLaughlin, P.A. Corporate Law Group

Robert C. Gabrielski, a Member of the Bridgewater-based law firm Norris McLaughlin, P.A., was named Chair of its Corporate Law Group.

“Robert Gabrielski has been with the firm since 1984, when he returned from San Francisco, where he started his legal practice. He has grown, professionally and personally, as the firm has evolved over the years. The Corporate Law Group at Norris McLaughlin, P.A. includes almost twenty attorneys who spend all or most of their time in a variety of specialties within the field of corporate law, including labor and employment, taxation, intellectual property, international mergers and acquisitions, securities, litigation, and bankruptcy and creditors’ rights. The range of clients is broad, as are the legal services that are provided to them. Often, the services overlap based on the needs of the client. The attorneys in the group provide general corporate services, including day-to-day legal counseling and general contract review, drafting, and negotiation.

With regards to mergers and acquisitions, the firm assists clients with asset and stock sales; statutory mergers; tender offers; and leveraged buyouts. In addition, the attorneys assist clients with exchanges of limited partnership interests, financing arrangements, due diligence investigation, and governmental approvals and clearance. The firm services also include analysis of tax, labor, employee benefits, antitrust, environmental and other issues relevant to the transaction, including transactions between national or multi-national businesses.

In the area of corporate finance and securities law, the firm offers clients assistance with venture capital transactions; negotiation with private, industrial and institutional investors; public and private offerings of securities, both debt and equity; and taxable and tax-exempt secured and unsecured debt financing. The attorneys also assist client with the preparation of documentation — commitment letters, loan agreements, indentures and trust agreements, debt instruments, guarantees, and other agreements; joint venture formation; tax benefit sales; real estate and other syndications; and sale/leaseback of corporate assets. They also prepare all required filings, annual reports and proxy materials; represent clients before the New Jersey Bureau of Securities; and advise in connection with SEC matters.

Depending on the client’s needs, the Corporate Law Group often forms a team of attorneys who concentrate in different disciplines. The firm strives to create the right blend of general competence and specialization that will best address the client’s needs promptly, efficiently and creatively.

Gabrielski, a resident of Martinsville, devotes his practice to business transactions, international and domestic, e-commerce and taxation. He has over 25 years of experience in advising both corporate and entrepreneurial businesses on such matters as business and tax planning, corporate acquisitions, divestitures and reorganizations, both domestically and internationally. He is also instrumental in assisting businesspeople with the development of their business ideas to the exit strategy for entrepreneurs and closely-held businesses, particularly in the technology and health care fields.

Gabrielski also counsels clients and acts as a discussion partner with business owners and executives with respect to e-commerce, technology development, health care, and commercialization of intellectual property. He regularly structures and negotiates technology licensing and development agreement and corporate partnering agreements.
